Welcome. CinematicDirector.ai (the "Studio," "we," "us") is operated by Mike Zapata in Florida, USA. These Terms of Service (the "Terms") govern your access to and use of the website at cinematicdirector.ai, any related subdomains, and any products, downloads, courses, prompt packs, or services the Studio offers (collectively, the "Services"). By creating an account, reserving a founders spot, downloading a deliverable, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Acceptable use
You agree to use the Services for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the Services. You will not:
- Reverse engineer, scrape, or attempt to extract source code, prompts, or proprietary workflows beyond what is delivered to you.
- Resell, sublicense, white-label, or redistribute Studio deliverables (prompt packs, reference packs, persona specs, courses, templates) without a written reseller agreement signed by Mike Zapata.
- Use the Services to build, train, or improve a directly competing AI persona product, dataset, or instructional course.
- Generate sexual content involving minors, non-consensual deepfakes of real people, content that violates the platform terms of Instagram, TikTok, YouTube, or any other platform, or content that violates applicable law in your jurisdiction.
- Misrepresent your AI persona as a real human to mislead consumers, regulators, or platforms in jurisdictions where that disclosure is required.
We reserve the right to suspend or terminate access for any violation of this section, with or without notice.
2. Ownership of the Ava Moreno brand
The Ava Moreno character, including her name, likeness, voice clone, biographical universe, and the @theavamoreno social presence, is the exclusive property of CinematicDirector.ai. Workflows, reference images, and prompt packs sold by the Studio teach you how to build your own AI persona using similar techniques. They do not grant you any right to copy, reproduce, or commercially deploy Ava herself or any character substantially similar to her.
You may not name your persona "Ava Moreno," use her face references, voice clone, or biographical details, or otherwise pass off your work as connected to her. If your independently created persona happens to resemble Ava through coincidence, the Studio reserves the right to request reasonable modifications and you agree to consider those requests in good faith.
3. Founders pricing and access
The Studio sells founders pricing tiers (currently the $97 Studio Logic and the $297 Studio Build) at a discount from eventual retail pricing. Founders pricing is offered in limited quantities and may be discontinued or repriced at any time. Once you purchase at a founders price, that price is locked for your account for the lifetime of the underlying product, provided your account remains in good standing.
Founders access includes the deliverables described on the product page at the time of purchase, plus any future updates the Studio releases to that same product. It does not include unrelated future products, services, or higher tiers, which are sold separately.
4. Refund policy
Self-serve products ($97 and $297 tiers)
Self-serve digital products (Studio Logic at $97, Studio Build at $297, and any future digital download or course) are eligible for a full refund within seven (7) days of purchase, no questions asked. After seven days, all sales are final and no refunds will be issued. To request a refund, use the contact form at cinematicdirector.ai and include your order ID and the email address used at checkout.
Done-for-you services (Studio DFY, $1,500 and up)
Done-for-you (DFY) engagements are bespoke services and are governed by a separate statement of work (SOW) signed at the start of the engagement. The SOW will define deliverables, milestones, and payment schedule. Either party may terminate a DFY engagement under the mutual termination clauses set out in the SOW, typically a fourteen (14) day written notice and pro-rata payment for work completed to date. Deposits paid before kickoff are non-refundable once production has begun. The SOW controls in the event of any conflict with these Terms.
5. Brand deals, sponsorships, and disclaimers
Some Studio content, including reels published by @theavamoreno and articles on cinematicdirector.ai, may include paid partnerships, sponsorships, or affiliate links. We disclose these where required by FTC guidelines and applicable platform rules. The Studio does not guarantee that any third-party product, tool, or service referenced will continue to function, remain available, or perform as advertised. You are responsible for your own due diligence before purchasing or relying on any third-party offering.
Brand-deal opportunities offered to Studio customers (introductions, rate cards, contract templates) are educational. The Studio does not act as your agent, broker, or attorney and makes no representation that you will land any specific deal or revenue level.
6. No warranty
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Studio disclaims all warranties, express or implied, including (without limitation) warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that the Services will be error-free, that defects will be corrected, or that the Services or the servers that deliver them are free of viruses or other harmful components. AI outputs are inherently probabilistic and may contain errors, biases, or unsafe content. You are solely responsible for reviewing all outputs before publishing them.
7. Limitation of liability
To the maximum extent permitted by law, in no event will CinematicDirector.ai, Mike Zapata, or any of the Studio's affiliates, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages, including (without limitation) lost profits, lost revenue, lost data, loss of goodwill, business interruption, or platform bans, arising out of or relating to your use of the Services, even if advised of the possibility of such damages. The Studio's total aggregate liability for any claim arising from these Terms or your use of the Services will not exceed the greater of (a) the amount you paid the Studio in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100). Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so portions of this section may not apply to you.
8. Indemnification
You agree to defend, indemnify, and hold harmless the Studio and its operators from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your violation of these Terms, (b) your misuse of the Services, (c) content you generate, publish, or distribute using the Services, or (d) your infringement of any third-party right, including any intellectual property or privacy right.
9. Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. You and the Studio agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
10. Modifications to these Terms
The Studio may update these Terms from time to time to reflect changes in our products, the law, or operational practices. When we make material changes, we will update the "Last updated" date at the top of this page and, where reasonable, notify active customers by email. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your remedy is to stop using the Services.
